BEST CHOICE LICENSE and LIMITED WARRANTY

PLEASE READ THIS AGREEMENT CAREFULLY BEFORE YOU ORDER YOUR COPY OF BEST CHOICE SOFTWARE. By clicking the "YES" button at the bottom of this document, you agree to be bound by the company's software license agreement.

1. GRANT OF LICENSE. Best Choice grants to you the non-exclusive license to use one copy of the software program (the "Software") and data (the "Data") on a single computer on an annual subscription license. The license can be renewed at a renewal fee. This Agreement and the license granted may not be transferred, assigned, leased, rented, sublicensed, or otherwise transferred by you. 2.

2. OWNERSHIP AND COPYRIGHT. The Software was developed by Best Choice. The Data was developed by Dial/Data and is provided by Dial/Data to licensed users of Best Choice Software. The Software and the Data were developed, compiled, prepared, revised, selected and arranged through the application of methods and standards of judgment developed and applied through the expenditure of substantial time, effort and money, constitute confidential and valuable industrial property and trade secrets, and are protected by United States copyright laws and international treaty provisions as well as other intellectual property laws and treaties. All title and copyrights in and to the Software or the Data and the accompanying printed materials are owned by Best Choice or its suppliers. You acquire only a non-exclusive license to use the Software and the Data subject to this Agreement. You agree not to duplicate the Software or Data. You may not directly, or indirectly offer or transmit all or any portion of the Software or Data to third parties whether by way of subscriptions, license, sale or otherwise. You may NOT copy the written material accompanying the Software or remove any proprietary notices or labels on the Software. You may not modify, translate, reverse engineer, de-compile, or disassemble the Software or the Data.

3. WARRANTY ON SOFTWARE. The Best Choice Software program is made available to all persons, as a free demonstration, without a time limit being imposed, by down-loading from the Best Choice web-site via the internet. This allows all persons the opportunity to become familiar with the program, and thus determine whether the program has value and/or fits the clients needs, BEFORE the client decides to purchase or rent the Best Choice Software. Thus, Best Choice does NOT offer a money back, or a refund policy, whether paid for by check or credit card purchase.

4. Best Choice does NOT warrant, guarantee, or make any representations regarding the use, or the results of the use, of the Software, Data or written materials in terms of correctness, accuracy, reliability, currentness, or otherwise.

5. NO OTHER WARRANTIES, TO THE MAXIMUM EXTENT PERMITTED BY LAW. BEST CHOICE AND ITS SUPPLIERS AND THEIR EMPLOYEES AND REPRESENTATIVES AND AFFILIATES DISCLAIM ALL OTHER WARRANTIES, EITHER EXPRESSED OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. THIS WARRANTY GIVES YOU SPECIFIC LEGAL RIGHTS.

6. NO LIABILITY FOR CONSEQUENTIAL DAMAGES. IN NO EVENT SHALL BEST CHOICE, OR DIAL/DATA OR ANY OF THEIR SUPPLIERS BE LIABLE FOR ANY SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES WHATSOEVER, (INCLUDING WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, LOSS OF BUSINESS INFORMATION, BUSINESS INTERRUPTION OR OTHER PECUNIARY LOSS) ARISING OUT OF THE USE OR INABILITY TO USE THE SOFTWARE OR THE DATA, EVEN IF BEST CHOICE OR DIAL/DATA HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.

7. NO WARRANTY ON DATA. The Data is derived from sources which Best Choice and Dial/Data deem reliable, but Best Choice, Dial-Data and their suppliers do not guarantee the correctness or completeness of the Data. Neither Best Choice, Dial/Data or any of their suppliers shall have any liability whatsoever for inaccuracies or defects in the Data, regardless of the loss you incur thereby.

8. PRODUCT SUPPORT. Best Choice provides technical support as outlined in the on-line help. Best Choice support services and product pricing are subject to Best Choice's then-current prices, terms and conditions, which are subject to change without notice, and which may be modified at any time at Best Choice's sole discretion. In no event shall Best Choice be liable for any special, incidental, or consequential damages whatsoever, (including without limitation, damages for lost data, loss of business information, hardware problems or other) arising out of the use or inability to use the Software or the Data, or instructions provided by Best Choice technicians in the process of providing technical support, even if Best Choice has been advised of the possibility of such damage.

9. IMPORTANT NOTE: Investments involve risks, including possible loss of principal and other losses. This program is designed to provide a training tool for the understanding of technical analysis of the financial markets. It is licensed to the End-User with the understanding that Best Choice is not engaged in rendering any investment or other professional advise. If investment or other professional advice is required, the services of a competent professional person shall be sought. Best Choice will not be responsible for any losses or lost profits resulting from investment decisions based on the use of this program, information obtained through use of this program, or otherwise.

10. This agreement is governed by the laws of the State of Florida. In the event a provision of this Agreement shall be held unenforceable, it shall be deemed severable from the remaining provisions and shall in no way affect the validity or enforceability of this Agreement.

11. BEST CHOICE, BEST CHOICE SOFTWARE and Trend-Riding are the trademarks of BEST CHOICE SOFTWARE. Dial/Data is a division of Track Data corporation. The fundamental data supplied as "sample" data with each program has been supplied by Dial/Data.
